These terms govern your access to and use of the Stack Innovations website and our services. By using this site or engaging us, you agree to them.

1. Who we are

Stack Innovations LLC (“Stack Innovations,” “we,” “us”) is a limited liability company formed in the State of Wyoming, USA, providing software design and engineering services on a remote-first basis.

2. Use of this website

You may use this website for lawful purposes only. You agree not to attempt to disrupt it, access it in an unauthorized way, or use it to infringe the rights of others. Content on this site is provided for general information and may change without notice.

3. Services and engagements

Any project we undertake is defined by a separate written proposal, statement of work, or agreement (“SOW”) that sets out scope, deliverables, timeline, and fees. If an SOW conflicts with these terms, the SOW controls for that engagement. Submitting our contact form is an enquiry and does not by itself create a binding engagement.

4. Fees and payment

Fees, milestones, and payment terms are stated in the applicable SOW. Unless stated otherwise, invoices are due on the terms specified, and late amounts may pause work.

5. Intellectual property

On full payment for an engagement, final deliverables created specifically for you become your property, except for our pre-existing materials, tools, libraries, and know-how, which we retain and license to you as needed to use the deliverables. Unless you ask us in writing not to, we may reference the engagement and non-confidential visuals in our portfolio.

6. Your responsibilities

• Provide timely feedback, approvals, content, and access needed for the work;
• Ensure materials you give us don't infringe third-party rights;
• Use deliverables in a lawful manner.

7. Confidentiality

Each party will protect the other's confidential information and use it only for the engagement.

8. Warranties and disclaimer

We perform services in a professional, workmanlike manner. Except as expressly stated in an SOW, this website and our services are provided “as is” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, Stack Innovations will not be liable for indirect, incidental, special, or consequential damages, or lost profits or data. Our total liability arising from an engagement will not exceed the fees you paid for that engagement.

10. Indemnification

You agree to indemnify us against claims arising from materials you provide or your unlawful use of deliverables.

11. Termination

Either party may end an engagement as set out in the SOW. You will pay for work performed up to termination.

12. Governing law

These terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. The courts located in Wyoming will have jurisdiction, unless an SOW specifies otherwise.

13. Changes

We may update these terms; the “Last updated” date reflects the latest version. Continued use of the site after changes means you accept them.
